This End-User License Agreement is a draft published for transparency. GrimoireScribe has not yet launched, and this document is not binding. The final EULA will take effect when the software becomes available for purchase or download. Terms are subject to change before launch.
This End-User License Agreement ("Agreement") is a legal agreement between you ("Licensee") and GrimoireScribe ("we," "us," "our"), a registered business operating under a New Jersey DBA filing (trademark pending). By installing, copying, or using GrimoireScribe software ("Software"), you agree to the terms below.
If you do not agree, do not install or use the Software.
1. License Grant
We grant you a non-exclusive, non-transferable, perpetual license to install and use the Software on supported platforms (Windows, macOS, and iPadOS) for personal or commercial use, subject to the activation limits described in Section 2.
"Perpetual" means your license does not expire. You may continue using the version you purchased indefinitely, with no recurring fees, no subscription, and no time limit.
Your license also includes all future major versions of the Software (V2, V3, and onward) at no additional cost. When a new major version is released, you will receive access to it as a free update. This applies to every license holder, at every price point, for the life of the product.
2. Activations and Devices
A single license key (format: GRSCR-XXXX-XXXX-XXXX) permits activation on up to 3 devices simultaneously, across any combination of supported platforms.
- The license key is validated once on first launch and stored locally on your device.
- You may deactivate any device at any time from within the app, freeing that activation slot immediately.
- There is no annual cap on deactivations or reassignments. You can move your license between devices as often as needed.
3. Free Trial
The Software includes a 14-day free trial with full functionality. The trial is enforced by the application itself, not by the payment processor. No payment information is required to start the trial.
At the end of the trial period, you may purchase a license to continue using the Software. If you do not purchase a license, the Software will stop functioning beyond the trial capabilities.
4. Payment and Refunds
The V1 Early Adopter price is $79 (USD), a one-time payment. There are no subscriptions, no recurring charges, and no credit systems.
Payment is processed by Paddle, which acts as the merchant of record and handles VAT, sales tax, and other applicable taxes globally. Your payment relationship for billing purposes is with Paddle, not directly with GrimoireScribe. Paddle's terms of service and buyer policies apply to the transaction.
We offer a 30-day refund policy, no questions asked. The 30-day window begins on the date of purchase, regardless of whether you used the free trial beforehand. If you are not satisfied for any reason within 30 days, contact hello@grimoirescribe.com and we will issue a full refund. Refunds are processed through Paddle.
5. Your Content and Intellectual Property
You own everything you write. GrimoireScribe claims no rights, no license, and no interest in your manuscripts, characters, world notes, outlines, or any other content you create or import into the Software.
Nothing in this Agreement transfers, assigns, or licenses any of your intellectual property to us. Your writing is yours. Period.
6. Data and Privacy
GrimoireScribe is a local-first application. Your manuscripts, characters, world notes, settings, and all other user data are stored exclusively on your device. We do not operate servers that receive, process, or store your writing.
- No cloud storage. Your files live on your hardware. We never see them.
- No telemetry. The Software does not phone home, track usage patterns, or collect analytics.
- No account system. There is no login, no user profile, and no sync service.
- API keys. If you use AI writing features, your API keys for third-party providers are stored locally on your device. GrimoireScribe never transmits them anywhere except directly to the provider you select.

7. AI Features and Third-Party Services
The Software includes optional AI-powered writing features. These features operate in two distinct modes:
Cloud AI (Bring Your Own Key). You may connect your own API keys for supported providers: Anthropic (Claude), OpenAI (GPT), xAI (Grok), Google (Gemini), and Mistral. When you use these features, your prose and context are sent directly from your device to the provider you choose. GrimoireScribe is not an intermediary. We do not relay, intercept, log, or store any data sent to these providers. Your use of each provider is governed by that provider's own terms of service and privacy policy.
Offline Mode (Local AI). The Software bundles a local AI model (a derivative of EVA-Qwen2.5-7B, released under the Apache 2.0 license). This model runs entirely on your device. No data leaves your machine when using Offline Mode. The knowledge system (structural index, full-text search, character tracking) and keyword-based world document retrieval are fully local and work without any internet connection.
Optional semantic search. For advanced world-building retrieval, you may optionally configure a cloud embedding provider (such as Voyage AI) or a local embedding model. Cloud embedding sends document text directly from your device to the provider for vectorization. This is entirely optional. Keyword-based retrieval works out of the box with no configuration and no cloud dependency. If you use a cloud embedding provider, your use is governed by that provider's terms of service.
All AI features are optional. The core writing, editing, and organization tools function entirely without AI or internet.
8. Support and Diagnostics
The Software includes a local logging system for diagnostic purposes. These logs are stored on your device and are never transmitted automatically. There is no phone-home mechanism.
Voluntary log sharing. If you contact us for support and we cannot reproduce your issue, we may ask you to provide your local logs to help us diagnose the problem. Log files may contain fragments of your prose, file names, or other project data. Sharing logs is entirely voluntary and at your discretion. We will use shared logs solely for debugging your reported issue and will delete them after the issue is resolved.
Offline Mode model diagnostics. If you experience quality issues with the bundled local AI model, we may ask to inspect a copy of your model file to determine whether it has become corrupted or drifted. This is also voluntary. We cannot access your local model remotely. Any model file you share will be used solely for diagnosis and deleted afterward.
You are never required to share logs or files to receive support. We will always attempt to resolve issues through other means first.
9. Bundled Third-Party Components
The Software includes open-source components used under their respective licenses. The bundled local AI model is based on EVA-Qwen2.5-7B, distributed under the Apache License 2.0. A full list of third-party licenses is available within the Software under Help > Licenses.
10. Restrictions
You may not:
- Redistribute, sublicense, rent, lease, or sell the Software or your license key to any third party.
- Reverse-engineer, decompile, or disassemble the Software, except to the extent that applicable law explicitly permits such activity.
- Remove or alter any proprietary notices, labels, or marks on the Software.
- Share your license key publicly or allow it to be used beyond the 3-device activation limit.
- Use the Software to develop a competing product.
11. Termination
This Agreement is effective until terminated. It terminates automatically if you violate any of its terms. We may also terminate your license if we detect abuse of the activation system (for example, circumventing the device limit through automated means).
Upon termination, you must stop using the Software and delete all copies from your devices. Termination does not affect your ownership of any content you created using the Software. Your writing remains yours.
If you received a refund under Section 4, the license terminates upon refund processing.
12. Updates and New Versions
We may release updates, patches, and new major versions of the Software. All updates and future major versions are included in your license at no additional cost (see Section 1).
Updates are optional. You are never required to update, and your current version will continue to function indefinitely. However, we recommend keeping the Software up to date for the best experience.
We reserve the right to discontinue development at any time. If that happens, your existing license and installed Software continue to work. You are not entitled to a refund solely because development has stopped.
13. Disclaimer of Warranties
The Software is provided "as is" and "as available," without warranties of any kind, whether express or implied. We do not warrant that the Software will be error-free, uninterrupted, or free of harmful components.
AI-generated content (whether from cloud providers or the bundled local model) is provided without any guarantee of accuracy, originality, or fitness for a particular purpose. You are solely responsible for reviewing and using AI output.
To the maximum extent permitted by applicable law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of Liability
To the maximum extent permitted by law, GrimoireScribe shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Software, including but not limited to loss of data, loss of profits, or interruption of business.
Our total aggregate liability under this Agreement shall not exceed the amount you paid for the Software license.
Because GrimoireScribe is a local application, you are responsible for backing up your own files. We strongly recommend maintaining regular backups of your manuscripts and project data.
15. Governing Law
This Agreement is governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict-of-law principles. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in New Jersey.
16. Changes to This Agreement
We may update this Agreement from time to time. Material changes will be reflected in the "Last updated" date at the top of this page and communicated through the Software's update notifications.
Continued use of the Software after changes are posted constitutes acceptance of the revised terms. If you do not agree with updated terms, you may stop using the Software. Your content remains yours regardless.
17. Severability
If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force.
18. Entire Agreement
This Agreement, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and GrimoireScribe regarding the Software. It supersedes all prior agreements, representations, and understandings.
